Introduction

The Mondi Group was, until 2 July 2007, part of the Anglo American group. Anglo American plc decided to demerge Mondi in order to concentrate on its core mining interests.

Mondi operates under a dual listed company (DLC) structure, with primary listings in both Johannesburg and London. This requires compliance with the corporate and accounting regulations of South Africa and the UK. The structure reflects the fact that the majority of Mondi’s business is in Europe whilst recognising our South African heritage and our significant ongoing operations there. Under the DLC structure, any ordinary share held in either Mondi Limited or Mondi plc gives the holder an effective economic interest in the whole of the Mondi Group.

The DLC comprises Mondi Limited, a South African incorporated company holding our African assets, and Mondi plc, a UK incorporated company holding our non-African assets. Together Mondi Limited and Mondi plc are known as the Mondi Group.

The Mondi Group is managed as a single unified economic enterprise and the Board of Directors and management team of Mondi Limited and Mondi plc are identical.

Mondi Limited is listed on the Johannesburg stock exchange and Mondi plc has a primary listing on the London stock exchange with a secondary listing on the Johannesburg stock exchange. The Mondi Group complies with the legal, governance and accounting regulations of South Africa and the UK.
