Our transfer secretary (registrar), JSE Investor Services (Pty) Limited (JSE Investor Services), should be informed in writing that your share certificate has been lost. JSE Investor Services will then assist you with the process to obtain a new share certificate which will involve the payment of fees and the completion of a lost securities indemnity form.

How to transfer my shares to someone else?

A stock transfer form, which can be obtained from our registrar, Equiniti, or downloaded from Shareview, needs to be completed and returned to Equiniti together with the share certificate.

T+2 means Trade plus 2 days and refers to the settlement period that was introduced for some market transactions in the UK and much of Europe on 6 October 2014. 

If you buy or sell Mondi plc shares after 6 October 2014 the transaction is likely to be completed more quickly than it would have been previously– settlement will be 2 days after trade. If you would like further information as to how you might be affected you should speak to a stockbroker.

Mondi intends to pursue a dividend policy that reflects its strategy of disciplined and value creating investment and growth with the aim of offering shareholders long-term dividend growth. The Group will target a dividend cover range of two to three times on average over the cycle, although the payout ratio in each year will vary in accordance with the business cycle. The payment of dividends will be conditional on the Group having sufficient distributable reserves.

Ordinary dividends paid by Mondi plc will generally be paid in euros.

The directors intend that the final and interim dividends will generally be paid in May and September in the approximate proportions of two-thirds (final dividend) and one-third (interim dividend).

Mondi plc shareholders on the South African branch register may have their dividends paid directly into a bank account if they have a South African bank account.

Mondi plc shareholders on the South African branch register without a South African bank account may like to consider dematerialising their shares with a Central Securities Depository Participant (CSDP) in South Africa as they are often able to pay dividends into foreign banks.

Mondi plc shareholders on the UK register can arrange for their GBP or Euro Dividends to be paid directly into their bank or building society account. More information can be found on the Dividend page and for Mondi plc Shareholder Administration pages on the UK register.

All dividends are declared in euro but are paid in the following currencies:

Mondi plc - Euro
Mondi plc (UK residents) - Pounds Sterling
Mondi plc (South African residents)   - South African rand

Mondi plc shareholders on the UK register resident in the UK may elect to receive their dividends in euro.

Mondi plc shareholders on the UK register resident outside the UK may elect to receive their dividends in pounds sterling.

Mondi plc shareholders on the UK register wishing to elect to receive their dividends in an alternative currency should contact Equiniti using the details provided.

Mondi plc shareholders on the South African branch register can only receive dividends in rand.

Mondi plc shareholders on the UK register wishing to receive dividends in their local currency may be able to do so through the Equiniti Overseas Payment Service. More information can be found on the Dividend page and Shareholder Administration pages for Mondi plc shareholders on the UK register.

The dividend reinvestment plans (DRIPs) provide an opportunity for shareholders to have their cash dividends reinvested in Mondi plc ordinary shares.

The plans are available to all Mondi plc ordinary shareholders (excluding those in certain restricted jurisdictions).

Mondi plc shareholders on the South African branch register resident in the US or Canada cannot participate in the DRIP. However, an underlying or beneficial shareholder holding their shares in dematerialised form should contact their broker or CSDP to see if they can participate on their behalf. It is the responsibility of the individual joining the DRIP to ensure that any local tax or legal obligations are complied with.

Mondi plc shareholders on the UK register resident in the US cannot participate in the DRIP. However, if the shareholder holds through a nominee resident in the UK (or EEA) then it may be possible for the nominee as the registered holder to participate on behalf of their client who is the underlying shareholder registered in the US. It is the responsibility of the individual joining the DRIP to ensure that any local tax or legal obligations are complied with.

Yes, once it is published, shareholders can find a copy of the Notice of AGM on the Shareholder Meetings page with instructions on how to attend the AGM in person or electronically.

Shareholders holding shares through a nominee and wishing to attend and vote at the AGM should contact their nominee beforehand and obtain a letter of representation authorising them to vote at the AGM. They should be advised that they may attend the AGM without a letter of representation as long as they do not intend to vote and are aware that they may speak only at the chair’s discretion.

Shareholders holding their shares through a nominee wishing to attend the AGM should, in advance of the meeting, inform Mondi’s company secretarial department in writing to Mondi, Ground Floor, Building 5, The Heights, Brooklands, Weybridge, Surrey KT13 0NY, United Kingdom or by email to agm.questions@mondigroup.com. Alternatively, shareholders holding their shares through a nominee must arrange to instruct the nominee how they wish their votes to be cast.

Yes. If shareholders are unable to attend the AGM, they are entitled to appoint a proxy to exercise all or any of their rights to attend, to speak and to vote on their behalf at the meeting. Shareholders will need to complete a proxy registration either via a form which can be requested from Equiniti in the UK or JSE Investor Services in South Africa, or if you are in the UK, this can be done electronically via Equiniti’s portal ShareView. If shareholders would like to vote in advance of the meeting but not attend, or appoint someone to attend on their behalf, they can still do so by following the instructions in the AGM Notice.

Yes. If shareholders are unable to attend the AGM and cannot appoint a proxy, they can complete the proxy form that will be sent to them with the notice of the AGM and send it back to the registrar as directed and, in the event of a poll, the chairman will cast the shareholder’s vote in line with their instructions.
